What you need to know when incorporating a Cyprus Company

Cyprus Private Company Limited by Shares (LTD) Requirements

  • Share Capital: There is no minimum requirement,
  • Shareholders: The minimum number of shareholders is one (1), and this can either be a physical person or a corporate entity.
  • Directors: a company is required to have at least one director. The director can either be a physical person or corporate entity.
  • Secretary: Thecompany is required to appoint a secretary. The secretary in Cyprus can be an individual or a legal entity. This position can be also occupied by the director of the entity.
  • Registered office: The registered office is the official address of the company and must be in Cyprus, in which all notifications and letters are sent.
  • Tax Registration: It is obligatory for all Cyprus companies to be registered with the Tax Authorities upon their incorporation.
  • Financial Statements: Audit have to be submitted to the Tax Authorities during 3 years from the incorporation of the Cyprus Company and once every 12 months thereafter.

Steps

  1. Firstly the Name for the company must be approved by the Registrar of Companies.
  2. The Memorandum of Association must be prepared by a registered lawyer in Cyprus.
  3. All the necessary forms must be submitted Registrar of Companies.

  • Certificate of incorporation
  • Certificate of Directors and Secretary
  • Certificate of Shareholders
  • Certificate of Registered address
